The first four teams were founded in South Bend, Indiana; Kenosha and Racine, Wisconsin; and Rockford, Illinois. The players were recruited wherever they could be found, but the best source seemed to be the Girls Athletic Association (GAA). The first season began in the summer of 1944. The league thrived the first few seasons garnering much popularity and fan support.

But when the war ended in 1945, things began to get hard. Especially the fact that when the men returned and took up their old jobs, forcing women out of the workplace and challenging the popularity of women’s baseball. The All-American Girls Professional Baseball League reached its peak in 1948, then began to fall. The teams eventually all went into debt, and between 1949 and 1951, it dwindled down to nothing. However, women’s baseball holds a special place in history, with a section of the Baseball Hall of Fame dedicated to this era.

With soccer becoming a hit among women in the United States, with their World Championships, baseball has taken a backseat. It will come to a point again in the future where baseball becomes a hit amongst the average woman. WNBA has become highly commercialized, and soccer extremely popular. Why not baseball?

Formalizing Equity Investment

Where an entrepreneur feels that a venture might have wide public appeal, or that some group of investors might be more comfortable with a formal division of ownership, the decision may be made to distribute stock in the corporation in proportion to ownership. For the protection of investors, this process is more tightly regulated than direct sales of ownership interest.

Simply stated, it is against the law to sell stock unless you are licensed to do so or can qualify for an exemption from the Securities and Exchange Commission (SEC) and the various states securities commissions’ rules. Let us take a look at some of the exemptions.

Regulation D

For some entrepreneurs, the best vehicle to accomplish initial equity financing under an exemption is through the use of Regulation D, which is a limited offer and sale of their company’s stock, or securities, without registration under the Federal Securities Act of 1933. Some risks continue under “D,” but compliance is significantly easier than before it existed. Under Regulation D, Rule 504 generally pertains to securities sales up to $1 million, and this is the rule most applicable to the ventures we are considering.

Rule 504

This rule is considered by many as the perfect answer for the company just starting out that needs to raise less than $1 million but cannot afford to go through the whole SEC registration process. Rule 504 offers such companies an alternative:

An exemption to raise up to $1 million, with no disclosure criteria

The total offering amount under Rule 504 can be up to $1 million in a 12-month period, less the aggregate offering of all securities sold within 12 months before the start of the offering. So, if a company has raised $100,000 in private money in the 12 months preceding qualification under this rule, it can still raise an additional $900,000.

Few general solicitation and resale restrictions

Generally, under Rule 504 there are no specific disclosure requirements, unless the state of issue imposes them. Theoretically, an issuer can have a purchaser sign a subscription agreement and purchase stock without any information about the company being disclosed.

Regardless of the amount of disclosure the issuer is willing to provide, Rule 504 does not dismiss the issuer from federal requirements, nor is there an exemption from fraud provisions, including the areas of material omissions or misstatements. The penalties for noncompliance are severe, including monetary fines and mandatory jail sentences.

Rule 504 allows the issuer to generally solicit, or advertise, for subscribers to an offering. Some states have been quite lenient in allowing it. However, in practice, very few issuers have advertised their offerings in newspapers or through other common media as was expected.

No limit as to the number or type of investors

Rule 504 is the only rule under D that permits an unlimited number of investors.

Regulation A Offerings

Under Regulation A, a company may also publicly offer its securities without registration under the 1933 Act. Instead, an offering statement (Form 1-A) is filed and “qualified” with the SEC. A principal attraction of “A” is that only two years of financial statements are required and they may be unaudited if audited information is not readily available. The limit of an A offering is $5 million in any 12 month period. Also, Form 1-A has been revised to allow the optional use of a “user-friendly” question and answer form.

Small Company Offering Registration (SCOR)

Form U-7, the basic registration/information form used in the Small Corporate Offering Registration (SCOR) was adopted by the Securities and Exchange Commission in 1992. In some states, this is called Uniform Limited Offering Registration or ULOR. It allows a company to raise up to $1 million by selling securities. The disclosure statement (Form U-7) is considerably less complicated than standard disclosure forms and is constructed in question and answer form; the SCOR/ULOR process is considered by many to be the simplest paper-work process used to complete an exempted offering ever.

The major drawback to the exempted processes is the complexity of the regulations, and the courts have shown a willingness to rule against the entrepreneur in their interpretations. The entrepreneur should not proceed without first seeking the advice of qualified legal counsel to determine the best form of exemption to apply for.

Antioxidant In Green Tea Helps Fight Alzheimer’s Disease

Scientists from the University of South Florida found that high doses of the antioxidant epigallocatechin-3-gallate (EGCG) found in green tea prevented Alzheimer’s-like damage in the brains of mice bred to develop symptoms of this disease.

One of the possible causes of Alzheimer’s disease is the harmful accumulation of beta-amyloid, which is just a very small protein fragment of a larger protein in brain cells. After several months of injecting the mice with pure EGCG on a daily basis, the nerve cells of the mice generated 54% less beta-amyloid proteins than not-treated mice.

In the case of humans, we would need a daily dose of 1,500 to 1,600 mg of pure EGCG to achieve the similar effect experienced by the mice and this daily dose has been studied in healthy human volunteers and was found to be safe and well tolerated. The drinking of green tea alone would not be sufficient to have this particular effect.

Slim thug is a name for a man that was actually born with the name of Stayve Jerome Thomas. Quite a difference in a name change I would say. Slim thug is a rapper, one that will chant out the words of his songs to the music of this day and age. Music now can be one of various types, from rock, to country and rap. Slim thug is a rapper. He was born in September 1980, and is actually quite young for being so successful. Not many people get the chance to be this successful so young in life. Slim thug is from Houston Texas, where so many other young children want and yearn for the life that he has.

In his teen years, Slim thug made a contribution to the song of Mike Jones, who is another rapper in the industry. This contribution to the song Still Tippin is what helped move Slim thugs career along in the music industry. The first band that Slim thug belonged with was called Swishahouse, and this was when he was a teenager as well. After leaving Swishahouse, Slim thug moved along and formed his own label, Boss Hogg Outlawz where he would create and sell mixed tapes, mixed songs and rap to the public. Now Slim thug is signed with another label, who markets and sells his music which is Geffen Records. Geffen Records is associated with The Neptunes record label, which is also a part of Star Trek Entertainment.

Slim thug has created an entire album, which was released in 2005, featuring singles such as Like A Boss, and Three Kings, and songs such as Incredible Feeling. Making Red Wine

Harvesting Your Red Wine Grapes - The first step in making red
wine is to have the grapes perfectly ready to be picked. They
need to be harvested not only at the proper time in their life
cycle, but also at the right time of day to ensure the acids and
sugars are all at the right balance for the wine.

Red wine grapes should contain enough sugar to be considered
ripe and be able to attain the alcohol content you are aiming
for. They must also have the right balance of acids. This means
“hang-time” on the vine until the grapes have met the proper
quality factors. A sugar content of 24 Brix at harvest will give
you about 12% alcohol.

De-stemming and Crushing - This step in making red wine removes
the stems from the grape bunches, and crushes the grapes (but
does not press them) so that the juices are exposed to the yeast
for fermenting. This will also expose the skins so they can
impart color to the wine while in the primary fermentation.

This step in making red wine can be done manually by squeezing
the grape bunches over a grate with holes to allow the grapes
and juice to go through while leaving the stems behind. I’ve
used old Coke crates, perforated plates, and other means to
accomplish this. (Depending on the type of wine, the stems could
be left in for a more tannic flavor or removed). This mix of
wine is called must and is put into a fermentation vat.

You can always “stomp” the grapes and remove the stems
afterwards - the old fashioned way. There are crusher/destemmer
machines that can be purchased if you have a lot of grapes to
crush. If you are going to adjust the acidity, this is the time
to do this.

Primary Fermentation - The must is held in a vat that can be
made of food grade plastic, glass, or stainless steel for
fermentation. In whichever container, the sugars inside the
grapes are turned into alcohol by yeasts. The yeast used should
be specific for red wine. This fermentation process typically
takes from 3-4 weeks.

How long the must (juice and grape solids) is allowed to sit,
picking up flavor, color and tannin is up to the wine maker. Too
long and the wine is bitter, to short and it is thin.
Temperature is very important during this stage - it also
affects flavour and color.

Punching Down the Skins - Skin and other solids float to the top
as fermentation proceeds. The carbon dioxide gas given off by
the fermentation process pushes them to the surface of the
developing wine. The rising skins are called the “cap” and need
to be pushed back down to stay in contact with the must. This
should be done a couple of times a day. As you punch down the
cap, you will notice that the wine is taking on more color from
the contact with the skins.

End of Primary Fermentation(?) - The winemaker must decide if
the must has fermented long enough. This will take a few days to
a week. Much of this decision depends on how much color you want
in your red wine. Generally, the wine has not completely
fermented at this time. There still should be some residual
sugar that will need to go through further fermentation.

Remove Free Run and Press - At the end of the primary
fermentation, the must is put into the wine press. The best
quality wine is made just from the juice portion of the must.
Many wine makers allow this to run off and save it for the best
red wines. The rest of the drier must (now called pomace) is
pressed.

Pressing squeezes the remaining juice out of the pomace. If you
do it too hard, or too many times, you get low quality wine. You
can save the pressings separately from the free-run or it can be
combined. This pressed wine will take longer to become clear and
ready for bottling.

Secondary Fermentation - The juice, now wine, needs to settle
after this ordeal and continue to ferment out all the residual
sugars. During this time, the wine should be stored in glass
carboys fitted with fermentation locks.

Fermentation locks keep oxygen out of the wine while allowing
the carbon dioxide from fermentation to escape. Without them,
oxidation will occur and the wine will spoil into vinegar or
something worse. In the lack of oxygen, the wine undergoes
subtle changes that affect the flavors of the resulting wine.

Malo-Lactic Fermentation - Many red wines need a non-alcoholic
fermentation to remove excess acidity. This secondary
fermentation will turn the tart malic acid (of green apples)
into the softer lactic acid (of milk). A special malo-lactic
bacteria is added which allows malolactic fermentation to occur.
This is done during the secondary fermentation. Wines are held
at about 72F during, or at least at the end, of the secondary
fermentation to favor this activity. The yeast that has settled
to the bottom during the secondary fermentation also favors this
process.

Racking and Clarification - Moving the wine from one container
to a new container by siphoning allows you to leave solids and
anything that might cloud the wine, behind. This clears the wine
and prepares it for bottling. Fermentation locks must be
employed with each racking to keep the wine from spoiling. Wine
is racked at least once but more may be needed to assist
clarification.

Cold Stabilization - During one of the aging stages between
rackings and bottling, the wine can be placed in the cold of
refridgeration to be stabilized. This cold period will make the
cream of tarter settle out of the wine and reduce the acidity
further. The wine is then racked off the cream of tartar during
the next racking. I suggest you do this early in the racking and
aging process of making red wine.

Aging - The wine is stored for anywhere from 9 months to 2 1/2
years to give it the correct amount of flavor. Oak barrels can
be used for aging but they are very expensive. Nowdays, when
making red wine at home, oak chips are used. The amount of time
you age your wine with oak depends on the flavors that you wish.
At the end of the aging period, you will be ready to bottle.

Fining or filtering - At the end of the aging period it helps to
remove anything that may be making the wine cloudy. This can be
accomplished with various fining agents (like sparkalloid), with
filtering, or both. This makes the wine crystal clear for
bottling and will prevent any sediments from forming during
bottle aging.

Bottling - This is done carefully so that the wine does not come
in contact with air. Finer wines may be stored for several years
in bottles before they are drunk. But I suggest that a minimum
of 6 months to a year lapse before drinking.

So there are the steps in making red wine. Properly done, you
will have a wine that will not only give you drinking pleasure,
but will make you the envy of your family and friends.

Millicent: “I ought to get a raise, but how on earth do I ask him for one?”
You: “Just ask. What is your PROBLEM?”

Antonio: “How on earth do I tell my wife I’m in love with another woman?”
You: “Just tell her. What is your PROBLEM?”

Liu: “I hate this house. I hate it.”
You: You’ve been saying that for 3 years now. What is your PROBLEM?”

What is the PROBLEM when the solution is so EASY?

++Easy to us who are not emotionally involved and can therefore be objective

He says he appreciates that, “and would you please explain about the 50 ways?”

Smart girl! She didn’t have a PROBLEM figuring out how to get what she wanted.

Emotions motivate us. We will sit on the fence until the pain gets too bad in one direction, or the expected pleasure too great in the other direction.

And when we get the feelings that motivate us, we discover there must be 50 ways to …

As the poet said, “Kisses are a better fate than wisdom.” Emotions are our guides. That’s what Emotional Intelligence is all about.

Old Russian Symbolics on a White and Blue Porcelain

Russian porcelain is widely known and is often used as a traditional gift.
The art of decorative painting on porcelain is handed down by craftsmen from generation to generation. Few of us, however, have asked ourselves what exactly is depicted on a Gzhel teapot or a Lomonosov porcelain cup.
The blue color, glazed cobalt, has a long history.

Majolica made in Gzhel, 60 kilometers from Moscow, has traditionally been decorated with glazed cobalt.

Archeological excavations prove that the craft of pottery has existed in Gzhel since the beginning of the 14th century.

It is possible White and Blue undergalzed cobalt painting tehnology appeared at Gzhel due to invasion of Mongols. Blue and White China was well known product of Chinisean Yuan and Ming dynasties and Mongols could deliver examples of that china to Russia at 13-14th centuries.

In the second half of the 17th century, Afanasy Grebenshchikov, a merchant, built a manufacture where he made various kinds of majolica earthenware. For his ware, he used the famous white clay (Gzhel), as well as the experience of potters from Gzhel. Upon returning to their homes, the craftsmen began establishing their own majolica manufactures.

Traditionally, Gzhel porcelain has been decorated using flower motifs, the Gzhel Rose, for example, and fabulous creatures such as the Firebird.
Gzhel porcelain often features octagonal shapes, shapes with eight radial points, shapes with twelve or six radial points, as well as a three-leaf clover.

What do these symbols represent?

The Firebird is a pagan, pre-Christian god of the ancient Slavs, the embodiment of the god of storms. In Slavic tales, this is a fairy bird that flies from another kingdom (a faraway land).

The Firebird is a very ancient pagan god that has survived only in traditional Russian folk tales.

The symbol of the Sumerian goddess Inanna (Ishtar) denotes ‘clear sky’, which was ruled by Zeus. The late Scythians traced their origins back to Zeus. His third wife, Hera, was a co-ruler of the sky. Her symbol was a duck (’sunny’ in Sumerian), a golden bird or Zhar bird (Russian name of the Firebird, deriving from the Scythian zar, gold).

It is assumed that the Firebird of the ancient Slavs came from the Zhar bird (Golden Bird) of the Scythians.

Flowers were the symbol of the sun among the ancient Slavs. Flowers were braided into the hair of girls during celebrations of the ancient festival dedicated to the god the Sun.

The bud of a flower symbolizes a possibility.

A flower in full bloom represents development and fruition.

The ancient Slavs often used ceramic jars for religious purposes, as well as calendars. This gave rise to the tradition of decorating tableware with octagons (ancient Slavs recognized eight parts of the world) and calendar symbols (the twelve months).

The three-leaf clover symbolized a part of the tree of life, procreation, and the connection between the ancestors and future generations. The symbol of the tree of life is very ancient and exists in the folklore of many peoples. D. Melchizedek wrote that this symbol includes all the formulas of the creation of the world - every single one of them.

Let us, however, return to the later historical period.

During the Middle Ages, cobalt glazed decoration enjoyed especial popularity.

Gzhel craftsmen like to say that there is no blue like the blue of their sky in Russia.

So, the idea came to them to transfer this blue onto white porcelain.
The design is transferred to unfired majolica or porcelain. After it is fired at a very high temperature, the paint acquires its famous deep blue color and becomes glazed over by the process. The design is very durable. The colors and the glaze shimmer. It looks delicate and esthetically pleasing on white porcelain and porcelain with gold, and gives a delicate and elite character to the tableware.

In the beginning of the 18th century, porcelain was especially popular in the Russian Empire. It was valued more highly than gold. The French Imperial Plant was one of the main manufacturers of porcelain tableware. Porcelain items were manufactured for the court of the Bourbons, and blue was the traditional color for decoration, since it was the color of the coat of arms of the Bourbons.

Soon, Russia acquired this tradition - porcelain of that time was often decorated with blue and gold. Initially, this tradition was not as widespread, and the ‘ancestor’ of the modern, world-famous cobalt mesh of the Lomonosov Plant, the set that belonged to the Empress Elizabeth, known for her passion for porcelain, was pink. (Cups of this design are still being manufactured and are called pink mesh).
Glazed cobalt, however, has become characteristic of Russian porcelain, due to the technology of its manufacture - the higher firing technology than that of the French porcelain.

Later, under the the influence of Empire, the style that Catherine the Great was especially fond of, many buildings in St. Petersburg and Moscow were decorated in blue and gold. Glazed cobalt decoration of porcelain items augmented by gold over glaze was especially popular at that time.
These traditions may also be noted in the world - famous cobalt mesh, blue, flower motifs of glazed cobalt - an Empire - style tree of life, and gold over glaze that symbolizes the ancient Firebird.

So assuming you have built your list of targeted prospects - all interested in investing their time into reading your free information and possibly checking out what other services you have to offer – how are you supposed to actually profit from your list? That’s basically what we all want to know how to do, right?

“The money’s in the list.” I think I’ve heard that quote about a gazillion times! Not that I’m tired of hearing it, because it’s short and sweet, and really gets to the point. And what’s so powerful about that quote is that IT’S TRUE.

If the money’s in the list, how do I manage to squeeze it out and get a little bit of it myself? You want to know what to do next - like send free content… then the next message, mix in an ad, etc… basically how to profit from the list, right?

It’s really quite simple. Help them profit.

Sounds cliché but it’s true. Research your market, and spend some time learning everything you can about the ‘passion’ of your list. Then share that info w/ them. Don’t ram it down their throats, but simply ’share’ it with them.

That’s how to profit from it.

Some people get it all wrong by sending some free content, and then the next email is a slimy pitch… that’s not going to work. Honestly get involved w/ the topic and send them interesting stuff about it. Review some of the other products in your market, cite the pros and cons of buying into it… give your thoughts and then either recommend it or say stay away from it.

What makes me cringe is when I get some email offers from newbies or others that just don’t get it… they send these email pitches that reveal the fact that they don’t care at all about the well being or success of the person receiving it.

People can tell when they’re being sold and when you’re sending them an offer simply because it will make you money. They can smell it from a mile away and it immediately makes them put their guard up and not trust a word in your email.

Just treat them like a friend and share different bits of info and make recommendations as you come across them. Send your list valuable, quality information. Slip in an ad on occasion and track the results. You’ll always get the “un-subscribers”, but don’t fret it. Those worried about losing subscribers shouldn’t. Keep building relationships with the subscribers that you still have.

There’s lots of ways to approach it, I’m just trying to help you with the mindset portion of it, because there really isn’t a formula to follow. Some people are looking for the formula, like… send 3 content messages, then 1 pitch… wait 2 days then send another pitch followed by 3 all content messages, blah blah blah… And you’ll never have success like that.

One of the points I want to make is that there are many e-books and other sources that talk about how to build the list and the importance of the list but very few that continue give you a proven formula that works every time.

The closest I’ve gotten to finding that formula is by simply following the idea of “Helping them profit will help me profit.” Respect your subscribers and they will return the favor – guaranteed.

Just simply share your research and knowledge with your list and only recommend top-notch goods and services that you’ve personally checked out and that you honestly believe will help your prospect.

Do that and your list will make you money…and Lots of It!

Ginger Gets a New Home

Ginger (a.k.a. “Redpuss”) is a half-ginger, half white, 12-year-old tom who suffered some bad health problems last year, including cat flu, 6 rotten teeth (with accompanying toothache) and associated chronic infection, a septic lip, ear mites, skin allergies and a heart murmur. His story is documented at the Help Save Ginger page (http://www.just-pet-cats.com/help-save-ginger.html), if you’d like some background information. You may have already read my previous article about him and how a number of generous people donated funds to cover his vet bills.

While his health problems were sorted out, finding a new home for him has proved to be something of a problem. Neither friends nor family were in a position to take him in for two reasons - he’s a cat-flu carrier (and my vet was insistent that Ginger should not go to a house that already has a cat) and his age (people are too worried that an ageing cat just means big medical bills down the road). Notices stuck up in supermarkets, libraries and vet clinics didn’t get a single reply. Neither did putting appeals in classified ads papers.

I contacted a few catteries to see if they could offer any leads I could follow up on. While they couldn’t suggest anyone to place the cat with, they suggested contacting an animal shelter who didn’t euthanise unwanted animals. Unfortunately, when I contacted them, they told me they only now dealt exclusively with dogs (apparently there’d been unholy war between the cats and dogs when they catered for both). They advised me to contact the local Cat Protection Association through their webpage.

Emails to their advertised email address went unanswered and after several aborted phone calls, I got a message saying that they’d moved and had a new phone number. I tried that only to get a message saying they were unavailable for several days and to leave a message. I did, but with less than ten days remaining before a final decision would have to be made as to whether to have him put to sleep or not, time was running out for Ginger.

Then, on the weekend prior to what could become a fateful day, I received a call telling me that a home had been found for Ginger. It seems that a grand-niece of Ginger’s original owner has stepped in to take care of him. So, with just one day to spare, Ginger was whisked off to his new home.

It’s a relief knowing that the Sword of Damocles no longer hangs over him and that the thought of having to have him put to sleep is now no longer the cards.

He’ll make a great pet for his new owners as he’s a very affectionate cat. With the exception of being a cat-flu carrier, his health is otherwise good. Given what he went though last year, he deserves to have a few good, happy years ahead of him and now he has.
